Welcome to www.heartcenteredapprentice.com (hereinafter “Website”), owned and operated by Heart-Centered Apprentice, LLC, a limited liability company registered in the State of Colorado. Heart-Centered Apprentice, LLC (“Heart-Centered Apprentice,” “we,” “us,” or “our”) invites you to access this Website and participate in our membership and coaching programs subject to the following Terms of Use, which may be updated from time to time without notice to you. It is your responsibility to review these terms and conditions periodically.

By accessing and using this Website, enrolling in the Heart-Centered Apprentice membership, or participating in our coaching sessions, you agree to these Terms and Conditions, our Privacy Policy, and any additional terms and conditions that may apply to services and products available through this Website. By accessing and using this Website, you represent that you are at least 18 years old or supervised by a parent or guardian and legally able to enter into a contract.

Please read the following Terms of Use carefully. By browsing, accessing, or using this Website or participating in the Heart-Centered Apprentice membership, you acknowledge that you have read, understood, and agreed to be bound by these Terms of Use and our Privacy Policy. This is a legal agreement between you (“User”) and Heart-Centered Apprentice, LLC.

1. Membership Overview

The Heart-Centered Apprentice membership (“Membership”) is a business mentorship and coaching program designed to support Kajabi Service Providers and online business owners. Membership benefits may include (but are not limited to):

  • Access to live group coaching calls, masterclasses, and success sessions.

  • Access to online training modules, templates, and business resources.

  • Access to private community groups (e.g., Facebook, Kajabi, or similar).

  • Directory listing (where applicable) and visibility opportunities.

We reserve the right to change, update, or discontinue any features of the Membership at our discretion.

2. Eligibility

  • Membership is open to individuals aged 18 or older.

  • Membership access is non-transferable and is intended for one individual only.

  • By enrolling, you affirm that you meet these eligibility requirements.

3. Payments & Refund Policy

  • Payment options may include monthly or annual billing, as displayed at checkout.

  • Except as provided in the limited guarantee (see Section 15), all payments are non-refundable, including deposits, partial payments, or paid-in-full options.

  • Failed or missed payments may result in suspension or termination of Membership access until payments are brought current.

  • You are responsible for providing accurate billing information and updating it as necessary.

4. Term & Renewal

  • Standard Membership is for a 12-month period unless otherwise stated at checkout.

  • Renewal options may be offered, but renewal is not automatic unless specifically indicated.

  • You may cancel future renewals by providing written notice at least 14 days before your next billing date. No refunds will be provided for unused portions of Membership once payment has processed.

5. Intellectual Property & Use of Materials

All content provided through Heart-Centered Apprentice—including but not limited to templates, frameworks, recordings, handouts, videos, course modules, and coaching materials (“HCA Materials”)—is the property of Heart-Centered Apprentice, LLC and is protected by copyright, trademark, and intellectual property laws.

Permitted Use of Materials

As a member, you are granted a limited, personal, non-transferable license to use HCA Materials for the purpose of building and running your own business. You may:

  • Use HCA Materials directly in your client projects.

  • Adapt templates, checklists, and strategies for your own offers and services.

  • Incorporate what you learn in HCA into your day-to-day client work.

Prohibited Use of Materials

You may not:

  • Copy, reproduce, or create derivative works of HCA Materials for the purpose of creating your own membership, group program, or training that competes with Heart-Centered Apprentice.

  • Market or sell HCA Materials (in whole or in part) as your own original intellectual property.

  • Share or distribute HCA course content, recordings, or resources outside of your own client work.

Violation of this section may result in immediate termination of your membership without refund and potential legal action.

6. Live Coaching & Community Guidelines

We believe in creating a supportive and respectful community. By joining, you agree to:

  • Treat all members, mentors, and facilitators with respect.

  • Maintain confidentiality of sensitive business or personal information shared by others.

  • Not use Membership platforms to solicit, spam, or harass others.

  • Engage in discussions and coaching in a constructive manner.

We reserve the right to remove or terminate access for any member who violates these guidelines, without refund.

7. Results Disclaimer

Heart-Centered Apprentice, LLC makes no guarantees regarding business outcomes, financial earnings, or client acquisition. Your success depends on your own effort, implementation, and external factors beyond our control.

All coaching, training, and resources are for educational and informational purposes only. Nothing provided should be construed as legal, financial, or tax advice.

8. Technology & Access

  • Access to Membership requires a reliable internet connection.

  • We are not responsible for outages, downtime, or functionality issues with third-party platforms (Kajabi, Zoom, Facebook, etc.).

  • It is your responsibility to ensure you can access the technology required for participation.

9. Limitation of Liability

To the fullest extent permitted by law, Heart-Centered Apprentice, LLC disclaims all liability for any direct, indirect, incidental, consequential, or punitive damages arising from your participation in the Membership or use of this Website.

In any and all circumstances, your maximum remedy and the maximum liability of Heart-Centered Apprentice, LLC, whether in contract, tort, or otherwise, shall be limited to the total fees you have paid to us in connection with the Membership during the three (3) months immediately preceding the event giving rise to your claim.

10. Termination

We reserve the right to suspend or terminate your Membership without refund if you:

  • Fail to make payments.

  • Violate these Terms & Conditions.

  • Engage in behavior deemed harmful to the community or to Heart-Centered Apprentice, LLC.

11. Governing Law & Jurisdiction

These Terms will be governed by the laws of the State of Colorado. The state and federal courts located in Colorado will have exclusive jurisdiction over any disputes arising from or relating to this Agreement, the Membership, or your use of this Website.

By accessing or using this Website or enrolling in the Membership, you consent irrevocably to jurisdiction in such courts and waive any defense of forum non conveniens.

12. Dispute Resolution

If a dispute arises out of these Terms or your Membership, both parties agree to attempt resolution through good-faith negotiation. If unresolved, the parties agree to submit to mediation in Colorado or virtually. If mediation fails, the matter shall be resolved through binding arbitration under the rules of the American Arbitration Association. Each party will bear its own costs, except as otherwise determined by the arbitrator.

13. Miscellaneous

  • Failure by us to enforce any provision of these Terms shall not constitute a waiver.

  • If any provision of this Agreement is found unenforceable, the remaining provisions shall remain in full force and effect.

  • Section headings are for convenience only and have no legal effect.

14. Refunds & Guarantee

Heart-Centered Apprentice offers a 30-Day Money-Back Guarantee under specific conditions. To qualify, you must complete Module 1, submit the Module 1 homework, and schedule your first Success Session within 30 days of your first payment.

If, within 24 hours after your first 1:1 Success Session, you decide the program is not for you, you may request a full refund by emailing [email protected].

If the refund is approved, access to all program materials, templates, coaching services, and bonuses will be revoked immediately.

Outside of this limited window, all payments are non-refundable, and you remain responsible for the full membership commitment regardless of participation, usage, or personal/business circumstances.
